Other Events.
On
March
13, 2008, the Board of Directors of Oil-Dri Corporation of America (the
“Registrant”) declared regular quarterly cash dividends of $0.13 per share of
the Registrant’s Common Stock and $0.0975 per share of the Registrant’s Class B
Stock. The dividends will be payable on June 6, 2008, to stockholders of record
at the close of business on May 23, 2008. A copy of the Registrant’s press
release announcing these matters is attached as Exhibit 99.1 and the information
contained therein is incorporated herein by reference.

Board of Directors Declares Dividends
CHICAGO
-
March 13, 2008 - The Board of Directors of Oil-Dri Corporation of America (NYSE:
ODC) today declared quarterly cash dividends of $0.13 per share of the Company’s
Common Stock and $0.0975 per share of the Company’s Class B Stock.
The
dividends will be payable on June 6, 2008, to stockholders of record at the
close of business on May 23, 2008. The Company has paid cash dividends
continuously since 1974.
