On June
15, 2010, the Board of Directors of Oil-Dri Corporation of America (the
“Registrant”) declared increased quarterly cash dividends of $0.16 per share
(increased from $0.15 per share) of the Registrant’s Common Stock and $0.12 per
share (increased from $0.1125 per share) of the Registrant’s Class B
Stock. The dividends will be payable on September 3, 2010, to
stockholders of record at the close of business on August 20, 2010. A
copy of the Registrant’s press release announcing these matters is attached as
Exhibit 99.1, and the information contained therein is incorporated herein by
reference.

Board of Directors Declares Increased Dividends
CHICAGO
– June 15, 2010 – The Board of Directors of Oil-Dri Corporation of America
(NYSE: ODC) today declared quarterly cash dividends of $0.16 per share of
the Company’s Common Stock and $0.12 per share of the Company’s Class B
Stock, a 7% increase for both classes of stock.
The
dividends will be payable on September 3, 2010, to stockholders of record
at the close of business on August 20, 2010. The Company has
paid cash dividends continuously since 1974.
