Item 8.01 Other Events.
On March 13, 2007, the Board of Directors of Oil-Dri Corporation of America (the Registrant) declared regular quarterly cash dividends of $0.12 per share of the Registrants Common Stock and $0.09 per share of the Registrants Class B Stock. The dividends will be payable on June 1, 2007, to stockholders of record at the close of business on May 4, 2007. A copy of the Registrants press release announcing these matters is attached as Exhibit 99.1 and the information contained therein is incorporated herein by reference.

CHICAGO March 14, 2007 The Board of Directors of Oil-Dri Corporation of America (NYSE: ODC) yesterday declared quarterly cash dividends of $0.12 per share for the Common Stock and $0.09 per share of the Class B Stock. |
